Cloutal Livestream Terms of Service
Document version 1.0
These Terms of Service govern the purchase and use of Cloutal Livestream (“the Software”), the macOS app for running live shows, and the related services provided by Cloutal, Inc. (“Cloutal”, “we”). Your data is covered by the Privacy Policy.
Cloutal Livestream is sold by Cloutal. There is no third-party seller or marketplace: your contract is with us, we invoice you, and we are responsible for the Software and for your refund rights. The separate Cloutal Media Terms cover Cloutal Media, including any recordings you upload to it.
1. Acceptance
By purchasing, activating or using the Software, you agree to these Terms and the Privacy Policy. If you use it for a business, you agree on that business’s behalf.
2. Licences, trials and devices
- A licence key (in the form
CLS-XXXX-XXXX-XXXX) is personal to you or your business. It comes from a subscription bought from Cloutal or from a Cloutal Media plan that includes Livestream keys. - Each key runs on two Macs at a time. You can sign a Mac out from the app to move the key to another one.
- Each Mac can use a free 14-day trial once, without a payment card.
- A licence is needed to go live and to record. Building lineups and overlays works without one.
- The Software checks its licence periodically and keeps working offline until its signed licence expires; it then needs to reconnect once to keep going live and recording.
- A key that comes with a Cloutal Media plan ends when that plan ends.
3. Subscriptions, billing, and cancellation
Paid plans renew monthly or yearly until cancelled. Fees, taxes, billing cycles, cancellation and refunds are described in your order and in the Refund & Cancellation Policy. You can cancel at any time from Manage billing; your licence then runs to the end of the period you have paid for.
4. Services the Software connects to
- Cloutal licensing — to start a trial, activate a key and manage your Macs. It sends your licence key, a salted, hashed identifier for your Mac, your Mac’s name and the product it is for.
- Cloutal Media, if you sign in — to upload recordings, sync lineups and overlays across your team, receive Stage Call updates, and use Team Voice. Your use of Cloutal Media is governed by the Cloutal Media Terms and your plan.
- Streaming platforms you choose — YouTube or any RTMP/RTMPS server whose address you enter. Your use of those platforms is governed by their own terms; Cloutal is not responsible for them, their availability, or action they take on your stream or account.
- Connection test — the built-in speed test uses Cloudflare’s public test service.
The Software contains no advertising, analytics or crash-reporting services.
5. Stage Call and Team Voice
Stage Call lets a phone on the venue’s network call the show. Anyone who has the Stage Call link or QR code can use it, so share it only with your crew, and treat it like a key. When the Mac is signed in to Cloutal Media, calls are also sent there so your team stays in step.
Team Voice carries live audio between your team’s stations through Cloutal. It is not recorded and is never part of your stream or recordings. It requires a Cloutal Media plan that includes it.
6. Your content and the people in it
You decide what you record and broadcast, and you are responsible for it. Before you stream or record an event, you must have every right and permission that requires, including:
- the consent of the performers and other people shown or heard — and, for anyone under 18, of a parent or guardian — and of the event organiser and the venue;
- licences for any music, choreography, video or other material that is performed or played; and
- compliance with the rules of the platforms you stream to.
Lineups, names and overlays you enter are yours. Cloutal does not monitor what you broadcast, and claims about it are yours to answer.
7. Acceptable use
You must not misuse the Software or services, interfere with their operation, share or resell licence keys, or attempt to circumvent licensing or security controls. You must not use the Software to broadcast or record unlawful content.
8. Intellectual property and open-source components
Cloutal and its licensors own the Software and services. No rights are granted except as expressly stated in these Terms. The Software includes FFmpeg, licensed under the GNU Lesser General Public License version 2.1; its licence and the offer of its source code are included in the app bundle, and nothing in these Terms restricts your rights under that licence.
9. Disclaimers and liability
The Software and services are provided “as is”. A live show depends on cameras, networks and platforms outside our control, so we do not promise that a stream or recording will be uninterrupted or complete; keep your own backup recording of anything that matters. To the maximum extent permitted by law, Cloutal disclaims all implied warranties and is not liable for lost revenue, lost recordings or indirect or consequential damages.
10. Termination
Cloutal may suspend or terminate a licence for breach of these Terms. You can stop using the Software and cancel at any time.
11. Governing law and disputes
Governing law, the company’s notice address and dispute-resolution terms will be finalized on approval.
12. Changes
Cloutal may update these Terms with a new document version; material changes will be made visible. For help, or to reach us about these Terms, use the support page.
